Under this task order, the contractor shall perform the following tasks: a. Task 1 - Primary CHIPS Forms: The contractor shall render advice concerning and update, revise, and maintain the primary CHIPS forms used in debt transactions, including but not limited to the principal form of Loan Guarantee Agreement, as directed by Office of the Chief Counsel for Semiconductor Incentives (OCCSI). The revisions and updates to the Loan Guarantee Agreement should be drafted in close cooperation with the point of contact from OCCSI. b. Task 2 - Ancillary Form Transaction Documents: The contractor shall render advice concerning and update, revise, and maintain ancillary form transaction documents for debt transactions, including but not limited to the principal form of the intercreditor agreement, guaranty agreements, security agreements, collateral agency agreements, legal opinions, and disbursement requests. c.
