## Description

**Title of Requirement:** Legal Services for Transaction / Restructuring Counsel (incl. local counsel) This will be a direct award (Sole Source) for legal requirements IAW FAR 13 to:

A&O Sherman (“A&O”) 1101 New York Avenue NW Washington, D.C.

**20005 Scope:** In 2018, OPIC committed a $100mm loan to Cal Bank plc (the “Borrower” or “Cal Bank”), a Ghanian bank, (i) for on-lending to Ghanaian small and medium enterprises and (ii) to refinance an OPIC-guaranteed Citibank loan of $8.3 million to Cal Bank. The scope of work pertains to that restructuring and related negotiation, which we anticipate will take place over the next 1-2 years, subject to regulatory approvals. Given the local regulatory regime relevant to the borrower, DFC expects that the engaged vendor will also engage local counsel.
