## Description

**NOTICE OF INTENT TO SOLE SOURCE:** The Veterans Health Administration (VHA), Program Contracting Activity (PCAC) intends to negotiate on a sole-source basis with EMP2, Inc., for Project Facilitation Services for multiple active ESPC and UESC projects. These services are required to be provided by a FEMP-Approved Project Facilitator, see FEMP for farther details. The North American Industry Classification System (NAICS) code for this requirement is 541330 with a small business size Standard of $25.5 million.

The authority for restricting competition on this requirement is 41 USC 1901, only one responsible source. The basis for this sole source is this requirement is for additional facilitation support on multiple existing ESPC and UESC contracts of which EMP2 is the incumbent project facilitator. The delays in time and the additional cost associated with bringing a new project facilitator onto the project are unacceptable given the ESPC and UESC project began development and were awarded between 5-10 years ago.

The amount of work to get a new PF up to speed to review all the projects including the Investment Grade Audits, M&V report, and any other relevant contract documents would be significantly more time and money than the estimated cost of the contract.

This would be duplicative, wasteful in both time and money, and more significantly would impact the VA hospital in question relying on completion of the energy efficiency work underneath of these ESPCs and UESCs which in many instances is curing facility deficiencies that impact VA patients. This notice of intent is not a request for quotes or proposals. No contract award will be made based on quotations or proposals received in response to this notice.
