## Description

Notice of intent to solicit and negotiate with only one source (Sole Source). The U.S. Department of Homeland Security (DHS), Customs and Border Protection (CBP), Office of Acquisition, in support of the Office of Chief Medical Officer (OCMO), proposes to enter into a contract on the basis of other than full and open competition to acquire a cloud-based Electronic Medical Record (EMR) built upon a proprietary Juvare Unified Command Platform (UCP) from:

**ESi Acquisition, Inc. (UEI:** PJF7XKQGSDC7) 235 Peachtree St. NE Suite 2300 Atlanta, Georgia 30303-1406 The statutory authority permitting other than full and open competition is 41 U.S.C. 3304(a) implemented by the Federal Acquisition Regulation (FAR) Subpart 6.302-1 entitled, "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements".

**Period of Performance:** One (1) 12-month base year from date of award Four (4) 12-month option years The required Electronic Medical Record (EMR) must be compatible with the Juvare Unified Command Platform (UCP) with an open-ended license agreement and development services with ESi Acquisitions, Inc. (ESI), which is an affiliate company owned by Juvare, for their proprietary Juvare UCP. The proprietary UCP is the basis for CBP’s EMR.

For the new EMR OCMO requires development support, hosting services in a FedRAMP (High) cloud environment, continued maintenance of the UCP, and seamless compatibility with CBP’s existing WebEOC solution currently used by CBP Office of Chief Medical Officer. This Software-as-a-Service (SaaS) UCP product is a cloud-based solution that has received an Authority to Operate (ATO) certification. ESI is the only source for the Juvare UCP.

There are no authorized resellers who are capable of providing the UCP platform and development and maintenance services for an EMR built upon this proprietary Juvare platform. ESI is the only vendor with an EMR solution in the FedRAMP High environment that is 100% compatible with CBP’s existing systems. It has been determined, via this notice, and is in the Government’s sole discretion, not to compete this contract action. This notice of intent is not a request for competitive quotes.

This synopsis does not constitute a solicitation, however all responsible sources that believe they can meet all of the requirements may submit a capabilities statement, which will be considered. Interested parties shall be required to provide a capabilities statement which would demonstrate how they can potentially meet the requirements described above.

The Government will review any submittals received in response to this notice prior to 4:00 p.m., EST, on August 9, 2024. All documentation must be submitted via email. The Government will not be responsible for any costs incurred in the preparation of responses to this announcement. This is the only notice that will be issued for these items. A determination by the Government not to compete this proposed contract action based upon responses to this notice is solely within the discretion of the Government.
